Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Crescent Health Clinic LLC ("Crescent Health Clinic," "Clinic," "we," "us," or "our") governing your access to and use of our website located at https://ch.clinicand any related pages, content, forms, scheduling tools, links, and online services (collectively, the "Site"). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Site.

1. Acceptance and Electronic Agreement

By using the Site, you represent that you are at least eighteen (18) years of age or the age of majority in your jurisdiction, and that you have the legal capacity to enter into this agreement. If you access the Site on behalf of a minor or another individual, you represent that you are authorized to accept these Terms on their behalf. Your use of the Site constitutes your electronic signature and consent to conduct business electronically to the fullest extent permitted by applicable law.

2. Changes to These Terms

We reserve the right to modify, supplement, or replace these Terms at any time in our sole discretion. Updated Terms will be posted on this page with a revised effective date. Your continued access to or use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

3. No Medical Advice; No Patient-Provider Relationship from Website Use

The Site is provided for general informational and administrative purposes only. Content on the Site—including text, graphics, descriptions of services, provider biographies, FAQs, insurance information, and any other materials—does not constitute medical advice, diagnosis, treatment, or a recommendation for any particular course of care.

Accessing, browsing, or submitting information through the Site does not create a physician-patient, provider-patient, or other healthcare treatment relationship between you and Crescent Health Clinic, its owners, clinicians, employees, contractors, or affiliates. A treatment relationship is established only through our formal intake, consent, and clinical processes, and only when we expressly agree to provide care in accordance with applicable law, licensure, and clinic policies.

You should not rely on the Site as a substitute for professional medical judgment or in-person or telehealth evaluation. Always seek advice from a qualified healthcare provider about a medical or psychiatric condition. Never disregard professional medical advice or delay seeking it because of something you have read on the Site.

4. Emergency, Crisis, and Urgent Care Disclaimer

THE SITE IS NOT DESIGNED OR INTENDED FOR EMERGENCY, CRISIS, OR URGENT MEDICAL OR PSYCHIATRIC CARE. Crescent Health Clinic is not an emergency service provider. We do not monitor the Site, email, voicemail, patient messaging platforms, or other non-clinical channels on a real-time or continuous basis and cannot guarantee a timely response to communications submitted through those channels.

If you or another person is experiencing a medical or psychiatric emergency, is in immediate danger, or is at risk of self-harm or harm to others, call 911 (or your local emergency number) immediately or go to the nearest emergency department. For suicide or mental health crisis support in the United States, call or text 988(Suicide & Crisis Lifeline), available 24 hours a day, 7 days a week. Additional resources may include local mobile crisis teams, community mental health centers, and hospital emergency services.

You agree that Crescent Health Clinic shall not be responsible or liable for any delay, failure, or inability to respond to communications submitted through the Site or related non-emergency channels when emergency or urgent care is required.

5. Appointments, Scheduling, and Clinic Policies

Online scheduling tools, contact forms, telephone requests, and other methods of requesting an appointment are offered for convenience only and do not guarantee availability, acceptance, or confirmation of care. We reserve the right to decline, reschedule, or terminate scheduling requests or established care relationships in accordance with applicable law, clinical judgment, clinic policies, and payor requirements.

Appointment policies—including cancellation, no-show, late arrival, telehealth, insurance verification, payment, and records—are governed by separate clinic policies, intake documents, consent forms, and agreements provided at or before the time of service. If there is a conflict between general Site content and executed clinic documents, the executed clinic documents control with respect to clinical services.

6. Telehealth

Where telehealth services are described on the Site, such descriptions are informational only. Telehealth is subject to eligibility, licensure, technology requirements, informed consent, and applicable federal and Utah state laws. We make no guarantee that telehealth will be appropriate, available, or covered for any particular patient, condition, payor, or geographic location. Telehealth limitations—including technology failures, privacy risks, and clinical appropriateness—will be explained in separate telehealth consent and clinic documentation.

7. Insurance, Fees, and Financial Information

Any insurance, billing, or payment information on the Site is provided for general reference only and is not a guarantee of coverage, reimbursement, or final patient responsibility. Benefits, eligibility, authorization requirements, and fees are determined by payors and clinic policies and may change without notice and may not be reflected on the Site. You are responsible for verifying coverage and understanding your financial obligations directly with your insurer and our billing team.

8. Third-Party Services, Links, and Platforms

The Site may contain links to or integrations with third-party websites, applications, or services—including, without limitation, online scheduling vendors, patient communication platforms (such as Spruce Health), review platforms, analytics providers, and social media sites ("Third-Party Services"). Third-Party Services are not under our control, and we do not endorse, warrant, or assume responsibility for their content, privacy practices, security, availability, or performance.

Your use of Third-Party Services is at your own risk and subject to the terms, conditions, and privacy policies of those third parties. We disclaim all liability arising from your interactions with Third-Party Services, including any data you provide to them.

9. User Submissions and Communications

If you submit information through the Site—including via forms, email links, or messaging—you represent that the information is accurate to the best of your knowledge and that you have the right to provide it. You agree not to submit unlawful, threatening, harassing, defamatory, obscene, or otherwise objectionable content. We may, but are not obligated to, monitor, review, or remove user submissions.

Submitting information through the Site does not guarantee confidentiality until a formal patient relationship and applicable privacy protections (including HIPAA, where applicable) are established. Do not submit information you consider highly sensitive unless directed to do so through approved clinical or intake channels.

10. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to the Site, our systems, or the data of others;
  • Interfere with or disrupt the Site or servers or networks connected to the Site;
  • Use automated means (bots, scrapers, etc.) to access or collect data from the Site without our prior written consent;
  • Reverse engineer, decompile, or disassemble any portion of the Site except as permitted by law;
  • Misrepresent your identity or affiliation;
  • Use the Site to transmit malware, spam, or harmful code.

11. Intellectual Property

The Site and its entire contents—including text, graphics, logos, images, design, software, and compilation thereof—are owned by Crescent Health Clinic LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except as expressly permitted by these Terms, you may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any part of the Site without our prior written consent.

12. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Clinical privacy practices for patients may additionally be governed by our Notice of Privacy Practices and other HIPAA-related documents provided at the time of care.

13. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES MADE AVAILABLE THROUGH OR IN CONNECTION WITH THE SITE ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, OR QUIET ENJOYMENT.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information on the Site is current, complete, or applicable to your circumstances.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRESCENT HEALTH CLINIC LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00), OR THE MINIMUM AMOUNT REQUIRED TO BE PERMITTED UNDER APPLICABLE LAW IF GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law, including where prohibited with respect to professional malpractice or willful misconduct.

15. Indemnification

You agree to defend, indemnify, and hold harmless Crescent Health Clinic LLC and its members, managers, officers, employees, contractors, agents, licensors, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) any information or content you submit through the Site. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

16. Release

To the fullest extent permitted by applicable law, you release Crescent Health Clinic LLC and its members, managers, officers, employees, contractors, agents, and affiliates from claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with your use of the Site, except where such release is prohibited by law. If you are a California resident, you waive California Civil Code Section 1542 to the extent permitted by law.

17. Governing Law; Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction and venue of such courts.

18. Dispute Resolution

Before initiating formal legal proceedings (other than emergency injunctive relief), the parties agree to attempt in good faith to resolve any dispute through direct communication with our clinic administration at info@ch.clinic. Nothing in this section prevents either party from seeking relief in a court of competent jurisdiction where permitted by law.

19. Severability; Waiver; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Crescent Health Clinic LLC regarding the Site and supersede prior or contemporaneous understandings relating to the Site.
